Sysco plans to issue $1 billion of common stock and to grant the underwriters a 30-day option on up to $150 million of additional shares. Goldman Sachs and TD Securities are the lead book-running managers. Sysco said the net proceeds will finance a portion of the consideration for Jetro Restaurant Depot, and that the offering does not depend on the acquisition closing.

The March financing plan already left room for new equity of this size. When Sysco agreed on March 30, 2026 to acquire Jetro Restaurant Depot for $29.1 billion, it said it would fund the $21.6 billion cash portion with $21 billion of new debt and hybrid debt and $1 billion of cash on hand, equity or equity-linked securities. Goldman Sachs and TD Securities also committed the $22 billion bridge loan behind the deal, and Sysco paused share repurchases to cut debt after closing. The stock fell 12% on the day the deal was announced.

At the $83.54 close, $1 billion of stock is about 12.0 million shares, and about 13.8 million if the underwriters take the full option. Jetro Restaurant Depot's owners are separately due 91.5 million Sysco shares at closing, so the offering adds roughly an eighth to the new stock tied to the acquisition.
