The reaction is the part worth reading carefully. Twenty-two cents on a stock near $494, against a raise of up to five billion dollars, is close to no reaction at all.

Two things explain it. Bonds do not create new shares, so unlike an equity raise there is no dilution for existing holders to price. And the spreads themselves — a modest premium over Treasuries that steps up evenly with maturity — say the debt market does not regard the added borrowing as a credit concern. When neither dilution nor credit risk changes, the equity has little to respond to.

Part of the raise is also refinancing rather than new money: an $875 million maturity comes due next month and is being repaid from these proceeds. We break down the full tranche structure, the spread ladder and what the offering says about AI-era capital needs on our AMD bond offering page.
