Ambarella shares rose 16.1% Friday, closing at $86.00, after the Financial Times reported that NXP Semiconductors is in talks to acquire the edge-AI chipmaker. NXP shares fell about 3% on the same report.

What was reported

The FT, citing people familiar with the matter, said discussions are preliminary and might not lead to a transaction; deal terms were not disclosed. Reuters, confirming the report independently, said NXP and Ambarella did not immediately respond to requests for comment. Other buyers could still emerge, or the talks could end without a deal.

Ambarella designs low-power semiconductors and software for edge AI — chips that run machine-learning models directly on a device, such as a security camera or a car, rather than sending data to the cloud. Its technology is used in autonomous-vehicle systems, advanced driver-assistance systems, security cameras and robotics.

Why NXP, why now

Automotive chips make up roughly half of NXP's projected $15.1 billion 2026 revenue, and the company has been building out software-defined-vehicle, radar and electrification capability. Ambarella's edge-AI chips would extend that reach into cameras, vehicles and robotics rather than duplicate it. The report also follows NXP's own forecast, delivered earlier in the week, for quarterly revenue above analyst expectations on demand across automotive, industrial and data-center markets.

Semiconductor consolidation has been active through 2026: Texas Instruments agreed to pay $7.5 billion for Silicon Labs, and SoftBank agreed to pay $6.5 billion for Ampere Computing. A deal for Ambarella, a company facing competitive pressure from larger rivals including Mobileye and Qualcomm, would fit the same pattern of bigger chipmakers buying scale and distribution for smaller AI-focused designers.

What to watch

The next concrete marker is confirmation, a denial, or a signed agreement from either company. Until then, a report of talks is not a deal, and the stock's move prices in the chance — not the certainty — that one gets done.
