New Concept Energy (NYSE American: GBR) rose 11.49% in the minute after a Form 4 crossed at 3:34:54 p.m. ET on Thursday, October 1, 2026, from $0.7893 to $0.88. The filing showed that Realty Advisors, Inc. had bought 2,000,000 newly issued shares from the company at $1.00 each, 26.7% above where GBR traded just before the headline, which lifted its holding to 2,400,000 shares, about 33.65% of the company. GBR was at $0.8575 ten minutes after the headline and at $0.85 after fifteen, up 8.64% and 7.69%.

A share sale agreed in April and confirmed in October

The terms had been public for almost six months. New Concept Energy signed the purchase agreement with Realty Advisors effective April 13, 2026, at not less than $1.00 a share, on condition that stockholders and NYSE American approved the issue. The annual meeting called for July 24 failed to reach a quorum and was recessed to August 21, when stockholders approved it. The October 1 Form 4 was the first filing to show the shares had actually been issued and paid for.

The company's proxy statement says the $2 million is intended to fund a possible acquisition of a new business and for working capital. New Concept Energy owns about 190 acres in Parkersburg, West Virginia, where it leases out buildings, and provides advisory and management services to an independent oil and gas company, so the cash is large next to the business it has today.

Why a $1.00 purchase moved a $0.79 stock

Before the issue New Concept Energy had 5,131,934 shares outstanding, which at $0.7893 valued the whole company at about $4.05 million. Realty Advisors paid $2 million for its new block, close to half that figure, at a price above the market, and the issue raised the share count by 39% to 7,131,934. In a stock that small, an existing holder paying $1.00 in cash for that many shares gave traders a reference price well above the quote, and GBR moved toward it within a minute. Even after the jump, $0.88 left the stock 12% below what Realty Advisors paid.

Realty Advisors sold above $1.00 before buying at $1.00

Form 4 filings show Realty Advisors selling 250,000 shares at $1.16 on December 20, 2024 and 246,254 shares at $1.15 in August 2025, which left it with the 400,000 shares, or 7.79%, it held when the April agreement was signed. Its new block came from the company rather than from the market, at a lower price than those sales fetched, and multiplied its holding six times.
