Elutia (Nasdaq: ELUT) stock jumped after the close on Thursday, October 1, 2026, when the company said at 4:45 p.m. ET that Boston Scientific had released the full $8 million kept in escrow from the sale of its BioEnvelope business, and that Elutia is now funded into 2029. The payment itself was on the calendar. Elutia sold its EluPro and CanGaroo BioEnvelope products to Boston Scientific for $88 million in a deal that closed on October 1, 2025, and the escrow ran for twelve months as cover for indemnity claims. In its full-year 2025 results in March 2026, the company listed the escrowed amount next to its cash and said it expected the release in the fourth quarter of 2026. Why did Elutia stock jump on a scheduled payment?

Two things were unknown until the release: whether Boston Scientific would make claims against the escrow, and how far the money would stretch. The company said the amount was paid in full, on schedule and with no claims. An indemnity escrow can be reduced by buyer claims, so a balance sheet reader could count the sum only with a discount until the twelve months had passed.

The size of the payment against the size of the company explains the scale of the move. Elutia's quarterly report for the first quarter showed 44,208,236 Class A shares outstanding as of May 12, 2026. At the $0.80 reference level that share count is worth about $35 million. An $8 million cash receipt is close to a quarter of that figure.

The 2026 funding sequence

The company described the escrow as its third funding step of 2026.

  1. August 11, 2026: Elutia closed a $15 million loan facility with Avenue Capital, with $10 million funded at closing and a further $5 million tied to FDA 510(k) clearance of NXT-41x.
  2. August 17, 2026: it closed the sale of its SimpliDerm business, receiving $8 million at closing with up to $3 million more in milestone payments.
  3. October 1, 2026: Boston Scientific released the $8 million escrow.

Those three receipts add up to $26 million of cash in under two months. Elutia reported $19.9 million of cash at June 30, 2026, down from $36.4 million at December 31, 2025, and a second-quarter loss from operations of $8.0 million. The escrow alone covers about one quarter of losses at that rate.

What "funded into 2029" changes for shareholders

A company with a share price below a dollar and a quarterly operating loss of that size is usually priced with an expectation that it will issue shares to raise cash, and new shares at a low price cut existing owners' stake sharply. Elutia's statement that it is funded through the first year of the expected NXT-41x launch and into 2029 addresses that expectation directly. The cash raised in 2026 came from a loan and two asset sales, with no new shares issued in any of the three transactions the company listed.

The runway claim is a company projection. At the second-quarter loss rate, the cash described above would not last until 2029 on its own, so the statement rests on Elutia's own assumptions about lower spending after two divestitures, the remaining loan tranche and milestone payments, and revenue from NXT-41x, a product that still required FDA clearance at the time of the announcement.
