As of 12:37 ET the stock was 25.79% above Friday's close of about $0.1908, at $0.24. Part of that gain came earlier: in premarket trading before the headline the stock was already about 12.5% above that close.

The merger consideration was issued as 79,078 shares of Series A Preferred Stock and 316,312 shares of Series A-1 Preferred Stock. That preferred cannot convert into common stock until Volato stockholders and NYSE American approve the issuance, and a stockholder meeting will vote on the conversion, board elections, an increase in authorized shares and the name change. Until then the common share count has not absorbed the 95% stake, and the closing did not count as a change of control.
Why a 21-cent stock moved this much
The closing turned a signed agreement into a completed transaction. When Volato signed the deal on August 26, the companies put Alignment Engine's value at about $500 million, a figure set by the parties themselves. At a pre-headline price of $0.2146, each tick of a tenth of a cent is close to half a percent, and ten minutes of trading ran at 237.0 times normal volume.
The skeptical read comes from Volato's own record. This is the second merger it has signed in about 14 months. The first, an all-stock deal with critical minerals company M2i Global signed on July 28, 2025, was approved in May 2026 by 99% of the Volato shares present at the vote, missed its March 31, 2026 outside date and was terminated by Volato on June 4, 2026. M2i Global rejected that termination the same day and said it would pursue its contractual rights. The Alignment Engine deal still needs the stockholder vote before its preferred converts.
