IonQ shares closed at $31.42 on Wednesday, October 14, 2026, down about 9.5%, after the quantum computing company priced a $2.0 billion sale of stock and warrants to a single buyer, an entity managed by Heights Capital Management. The $40.00 price was 15% above Tuesday's close by IonQ's own figure, but each $40.00 also bought two seven-year warrants to purchase more shares at $69.46, which is why a sale priced above the market still pushed the stock down.

The pricing reached the MoveSurge news feed at 8:50:00 a.m. ET, before the open, with IONQ already at $32.87 in premarket trading. Our reaction reading caught a trade at $33.30 a minute later, up 1.31%, and $32.70 at the ten-minute mark, down 0.52%. The one-minute bars in the chart below close that first minute at $32.84, down 0.09%, and stand at $32.88 after fifteen minutes, so premarket trading barely moved on the pricing. The selling came after the open, and by 1 p.m. the stock was down about 9%.

What Heights Capital bought for $2.0 billion

J.P. Morgan acted as sole underwriter. The buyer received 20,500,000 common shares and pre-funded warrants for another 29,500,000 shares, 50 million shares in all at $40.00, plus warrants for 100,000,000 further shares at $69.46, an exercise price IonQ set at double Tuesday's close. If every warrant were exercised, IonQ would raise about $6.9 billion more and issue twice as many shares again as the offering itself. Seven-year options on a stock that moves as much as IonQ's are worth a great deal, so once their value is subtracted from the $40.00, the effective price paid for each share sat below the market price.

The third deal with the same buyer

Heights Capital has now bought IonQ stock three times in 15 months, each time with two warrants for every share or pre-funded warrant and at a premium to the previous close, while the price it paid fell from $93.00 to $40.00.

A year earlier the same buyer paid $93.00 a share, more than twice the new price, and the warrants from both 2025 deals carry exercise prices far above where the stock now trades. Selling 50 million shares at $40.00 raised the same $2.0 billion that 21.5 million shares raised in October 2025. IonQ said it will use the money to commercialize, manufacture and deploy its quantum platform; it held $3.0 billion of cash and investments at June 30, 2026.

A second share issue in three days

The offering followed IonQ's Monday, October 12 agreement to buy Elisity, a zero-trust network security company, for up to $1.3 billion in stock: $1.15 billion at closing and an earnout of up to $150 million tied to revenue. The number of shares paid at closing depends on IonQ's 20-day average price, within a collar of $33.07 to $49.61. Under the collar, an average below $33.07 counts the shares at $33.07 each, which caps the closing payment at about 34.8 million shares; at $31.42 the stock was trading under that floor. IonQ shares fell about 9% on the day the deal was announced.

The decline did not last into Thursday. On October 15 IonQ rose 9.33% to $34.35. Our running page on IonQ stock tracks later moves.
